Terms of Use

1. Acceptance of Terms

By accessing or using the App, you agree to these Terms. If you do not agree, you must not use the App.

2. Eligibility

You must be at least 13 years old to use the App. By using the App, you represent and warrant that you meet this age requirement.

3. No Traditional Account; Anonymous Identifier

The App does not require registration with an email address or third-party login. The App may assign and persist an anonymous identifier through our authentication provider so that your content and purchases can be associated with your installation. You are responsible for the security of your device. If you lose access to your device or delete the App, you may lose access to prior content or purchase restoration may be limited in accordance with platform rules.

4. User Content

4.1 The App allows you to submit photos and to generate images and related content ("User Content"). Subject to these Terms and our rights in the App itself, you retain your rights in User Content you provide.

4.2 User Content you generate is intended for your personal, non-commercial use unless we expressly permit otherwise. Do not use the App in a way that infringes others' rights or violates applicable law.

4.3 You are solely responsible for User Content you submit and for ensuring you have the rights to use and process those images (for example, photos you took yourself or that you are authorized to use).

4.4 You represent that your User Content will not: violate any law; infringe intellectual property, privacy, or publicity rights; contain unlawful, hateful, harassing, or sexually explicit material involving minors; or promote dangerous or illegal activities.

5. AI-Generated Output

5.1 Features of the App use artificial intelligence to produce or modify images. AI outputs may be imperfect, inconsistent, or not match your expectations.

5.2 You understand that AI features involve automated processing of your images and instructions by us and third-party providers as described in our Privacy Policy.

5.3 You are responsible for how you use outputs. We do not warrant that outputs are accurate, unique, non-infringing, or fit for any particular purpose.

6. In-App Purchases

6.1 The App may offer in-app purchases through the Apple App Store (and other applicable platform stores).

6.2 Purchases are subject to the platform's terms. All fees are non-refundable except as required by applicable law or platform policy.

6.3 You agree to pay all charges and applicable taxes associated with purchases made through your platform account.

7. Intellectual Property Rights

7.1 The App, its branding, templates and curated reference materials we provide, software, and our underlying technology are owned by Onyx Tech Inc or our licensors and are protected by intellectual property laws.

7.2 Except as allowed by these Terms or by law, you may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from the App or our proprietary assets without our prior written permission.

8. Prohibited Conduct

You agree not to:

• Use the App for any unlawful purpose or in violation of these Terms
• Attempt to gain unauthorized access to the App, our systems, or other users' data
• Interfere with or disrupt the operation of the App or its infrastructure
• Use the App to transmit malware or engage in fraudulent activity
• Circumvent payment, usage limits, or technical protections
• Use the App to generate content that violates Section 4.4

9. Modifications to the App and Terms

9.1 We may modify, suspend, or discontinue the App or any feature at any time, with or without notice.

9.2 We may update these Terms from time to time. We will post the updated Terms and revise the "Last updated" date. Your continued use of the App after changes become effective constitutes acceptance of the revised Terms, to the extent permitted by law.

10. Disclaimer of Warranties

The App is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Onyx Tech Inc and its affiliates, officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, use, or goodwill, arising out of or related to your use of the App, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if we have been advised of the possibility of such damages. Our total liability for any claim arising out of the App is limited to the greater of (a) the amount you paid us for the App or in-app purchases in the six (6) months before the claim or (b) fifty U.S. dollars (US$50), except where prohibited by law.

12. Indemnity

To the extent permitted by law, you agree to indemnify and hold harmless Onyx Tech Inc and its affiliates from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your User Content or your violation of these Terms.

13. Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles, except where mandatory consumer protection laws of your jurisdiction require otherwise.

14. Privacy

Your use of the App is also governed by our Privacy Policy. Please review it for details on how we collect and process information, including AI-related processing.

15. Export Control

You agree to comply with all applicable import, export, and sanctions laws and regulations.
